Terms of Service
Please read these Terms of Service carefully before using ZivaraCare. By accessing or using our platform, you agree to be bound by these terms. Effective date: April 19, 2026.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Juze Technologies Corporation d/b/a ZivaraCare ("ZivaraCare," "we," "us," or "our"), a North Carolina corporation located at 5304 Daydream Drive, Raleigh, NC 27616. By creating an account, accessing, or using the ZivaraCare platform, website, or any associated services (collectively, the "Service"), you agree to these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
2. The Service
ZivaraCare is an online marketplace platform that connects patients, family members, caregivers, and transport providers. ZivaraCare is not a medical provider, home health agency, skilled nursing facility, hospice, or licensed healthcare organization. We do not employ caregivers or transport providers as employees of ZivaraCare except where required by law and expressly stated in a separate written agreement.
Care decisions, medical judgments, and clinical determinations remain solely between patients, their authorized representatives, and licensed healthcare professionals. ZivaraCare makes no representations regarding the quality, safety, or appropriateness of any care services arranged through the platform. Users engage service providers at their own risk.
3. Accounts and Eligibility
- You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you are 18 or older.
- You must provide accurate, current, and complete registration information and promptly update it if it changes. Providing false information may result in immediate account termination.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@zivaracare.com if you suspect unauthorized access.
- You may not share your account with or transfer it to another person. Each account is for a single, named individual or entity.
- We may suspend, limit, or terminate accounts that violate these Terms, harm other users, or pose a risk to the integrity of the platform.
4. User Roles
The Service supports the following user roles, each with distinct permissions and responsibilities:
- Patient: An individual seeking care services. Patients can post care needs, book caregivers, authorize family member access, and manage their care profile.
- Caregiver: An individual offering care services through the platform. Caregivers must complete our verification and background check process before becoming active. Caregivers are independent contractors, not employees of ZivaraCare.
- Family Member: An authorized representative of a patient who can view care schedules, communicate with caregivers, and manage certain account functions as permitted by the patient.
- Transport Provider: An individual or entity offering non-emergency medical transportation. Transport Providers must complete registration, provide required licensing documentation, and comply with all applicable transportation regulations.
5. Bookings and Cancellations
When a Patient books a Caregiver or Transport Provider through the platform, a service agreement is formed directly between the Patient and the service provider. ZivaraCare facilitates the connection and payment processing but is not a party to that service agreement.
Cancellation policies are displayed at the time of booking and vary by service provider. Late cancellations or no-shows may result in cancellation fees charged to the Patient's payment method. Caregivers and Transport Providers who repeatedly cancel confirmed bookings may have their accounts suspended or terminated.
ZivaraCare reserves the right to cancel or modify bookings in cases of fraud, safety concerns, force majeure events, or platform errors. We will provide reasonable notice where practicable.
6. Payments and Fees
Payments for services are processed through our third-party payment processor, Stripe, Inc. By using the Service, you agree to Stripe's Terms of Service.
ZivaraCare charges a platform service fee on each completed transaction, as described in the applicable pricing pages within the Service. This fee is deducted before caregiver payouts are disbursed. Payout schedules, minimum thresholds, and hold periods are described in your caregiver account settings.
All fees are in U.S. dollars unless otherwise stated. You authorize ZivaraCare and Stripe to charge your payment method for all applicable fees, including service fees, cancellation fees, and any taxes required by law. Disputes regarding charges must be submitted to us within 30 days of the charge date.
7. Subscriptions and Auto-Renewal
Certain features of the Service may require a paid subscription. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until then. We do not provide prorated refunds for partial subscription periods unless required by applicable law.
We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Caregiver Independent Contractor Status
Caregivers on the ZivaraCare platform are independent contractors, not employees, agents, or partners of ZivaraCare. Caregivers set their own schedules, rates (within platform guidelines), and service areas. ZivaraCare does not control the manner in which caregivers perform services.
Caregivers are solely responsible for complying with all applicable laws and regulations governing their services, including licensing requirements, tax obligations, and professional standards. ZivaraCare does not withhold taxes on behalf of caregivers. Caregivers are responsible for reporting and paying their own taxes.
ZivaraCare is not responsible for any acts or omissions of caregivers, including any harm, injury, loss, or damage arising out of or related to the care services they provide.
9. AI-Generated Content Disclaimer
The Service may use artificial intelligence to generate care plan suggestions, visit summaries, and other content ("AI-Generated Content"). AI-Generated Content is provided for informational and convenience purposes only.
AI-Generated Content is not medical advice. It has not been reviewed, approved, or verified by a licensed healthcare professional and may contain errors, omissions, or inaccuracies. You should always consult a qualified physician, nurse, or other licensed healthcare professional before making any care or medical decisions. ZivaraCare expressly disclaims all liability for any harm arising from reliance on AI-Generated Content.
AI features on the platform are powered in part by Anthropic, PBC. By using AI features, you acknowledge that certain data may be processed by Anthropic to generate responses. See our Privacy Policy and AI Disclaimer for more details.
10. Acceptable Use
You agree not to use the Service to:
- Harass, threaten, defame, or harm any other user or third party.
- Submit false, misleading, or fraudulent credentials or information.
- Circumvent security controls, payment systems, or access restrictions.
- Scrape, crawl, or harvest data from the platform without written permission.
- Engage in any unlawful activity, including discrimination, fraud, or abuse.
- Use the platform to recruit service providers away from ZivaraCare outside the platform.
- Upload or transmit malware, viruses, or any code intended to disrupt or damage the Service or other users' systems.
- Impersonate any person, entity, or ZivaraCare employee.
Violations of this section may result in immediate account suspension or termination, and ZivaraCare reserves the right to report violations to law enforcement.
11. Intellectual Property
The Service and all content, features, and functionality therein — including text, graphics, logos, icons, software, and data compilations — are owned by Juze Technologies Corporation or its licensors and are protected by U.S. and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not reproduce, distribute, modify, or commercially exploit any portion of the Service without our prior written consent.
By submitting content to the platform (including reviews, care notes, or profile information), you grant ZivaraCare a worldwide, royalty-free, sublicensable license to use, store, reproduce, and display that content in connection with operating and improving the Service.
12. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share personal information. By using the Service, you consent to our data practices as described therein.
13. HIPAA Notice
ZivaraCare may process certain health-related information in the course of facilitating care services. Where ZivaraCare acts as a Business Associate under HIPAA, it will do so pursuant to a Business Associate Agreement ("BAA") with the applicable Covered Entity.
ZivaraCare implements administrative, technical, and physical safeguards designed to protect the security and confidentiality of Protected Health Information ("PHI") as required by applicable law. ZivaraCare is not itself a Covered Entity under HIPAA.

14. Indemnification
You agree to indemnify, defend, and hold harmless Juze Technologies Corporation d/b/a ZivaraCare, its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you submit to the platform; or (e) your interactions with any other user or third party through the Service.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUZE TECHNOLOGIES CORPORATION D/B/A ZIVARACARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
IN NO EVENT SHALL ZIVARACARE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZIVARACARE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ZIVARACARE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZIVARACARE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
17. Governing Law
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.
18. Dispute Resolution and Arbitration
Mandatory Arbitration. Except for disputes that qualify for small claims court, you and ZivaraCare agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.
Venue. The arbitration shall take place in Raleigh, North Carolina, unless the parties agree otherwise.
Class Action Waiver. YOU AND ZIVARACARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out. You may opt out of arbitration by sending written notice to legal@zivaracare.com within 30 days of first accepting these Terms.
19. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through the Service or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
